Software Terms of Service

  1. Introduction

FLYDESK is a company which operates hybrid work environment management software available through a mobile App and a website.

By using the FLYDESK Service, you agree to the Terms of Services below, and agree to the Terms of the FLYDESK platform available here.

  1. Definition

In this Agreement, unless the context otherwise requires:

"Activation Date" means the date from which the Client will have access to the FLYDESK Software;

"Client" or the “Licensee” a company looking to have its employees use the FLYDESK Software

“FLYDESK” is a limited liability company incorporated under the laws of Hong Kong named Profindup Limited, operating under the trademark FLYDESK, (Company Registration nº 2373930 and Business Registration nº 66130607), whose registered office is at UNIT 2A, 17/F, GLENEALY TOWER, NO.1 GLENEALY, CENTRAL, HONG KONG

"FLYDESK Software" a hybrid work environment management software available through a mobile App or a website;

  1. Access to the FLYDESK Software 
  • Following the Activation Date:
    1. The Client agrees to pay the Fees to FLYDESK until the termination of the usage of the FLYDESK Software
    2. FLYDESK will grant to the employees of the Licensee a non-exclusive, non-transferable (but interchangeable between employees) license to use the FLYDESK Software. 
  1. Fees & payment 
  • Fees:
    1. For a Monthly subscription plan, the Fees will be calculated on a monthly basis as the Monthly User Price times the Number of Users as of the end of the month.
    2. For a Yearly subscription plan, the Fees will be calculated on a monthly basis as the Yearly User Price times the Number of User as of the start of the subscription plan, times 12 
  • Payment:
    1. For a Monthly subscription plan, the Fees shall be paid within 7 days following the issuance of the invoice on such fees.
    2. For a Yearly subscription plan, the Fees shall be paid within 7 days following the start of the subscription plan 
  • Additional License Fees for yearly subscription plan:
    1. For Yearly subscription plan, in regards of any new users, the Client will be invoiced on the month of which such new user arrived an amount computed as the Yearly User Price times the number of months remaining during the yearly commitment period of the Client
  • Interchangeable users
    1. Users are interchangeable for a given Client, i.e. they are not nominative
  • Inactive users:
    1. For a Yearly subscription plan, FLYDESK will not reimburse or credit the Fees for any inactive users
    2. For Month, FLYDESK will not reimburse or credit Fees for any inactive users on the pro-rata of the month on which the user was inactive 
  • Price:
    1. The Monhtly User price and the Yearly User price can be amended by FLYDESK at is sole discretion, with 1 month prior notice 
  • Free trials:
    1. FLYDESK has the right to offer free trials of the app for certain Clients, irrespective if other clients had a free trial or not.
  1. Duration & Termination
    • The Client will agree to an initial term (monthly or yearly), and such term will be automatically renewed on the same term at the end of the current Term unless the Client or FLYDESK notices the other party prior to the expiry date of the current Term their intention to terminate the agreement.
    • FLYDESK may, at its sole discretion, terminate this agreement and the FLYDESK Software with immediate effect if the Licensee is in breach of compliance of its obligations under this Agreement.
    • The confidentiality provisions of this Agreement shall continue in full force following such termination.
